Software License Agreement

IMPORTANT - READ CAREFULLY: This Software License Agreement is a legal agreement between you (either an individual or an entity) and Odesys LLC for the software product identified above, which may include computer software and documentation (collectively "Software"). By downloading, copying, installing or otherwise using this software product, you indicate your acceptance of this License Agreement. If you do not agree to the terms of this Agreement, do not use the Software and promptly delete any copies of the Software on your system.
OWNERSHIP: This Software is owned by Odesys LLC and is protected by United States copyright laws and international treaty provisions. Licensee acknowledges that this is not a sale of the Software, but only permission to use the Software as specified in this Agreement. Odesys LLC retains ownership of the Software including copyright and all other intellectual property rights.
EVALUATION LICENSE: If you downloaded an evaluation version of the Software you are free to evaluate it for 30 days. You may not use the evaluation Software in any production sofware. You must delete the evaluation Software no later than 30 days after it was downloaded.
COMMERCIAL LICENSE: Odesys LLC grants you a non-exclusive and non-transferable license to use the Software and its documentation on the number of computers for which the corresponding license fee has been paid.
LIMITED DISTRIBUTION RIGHTS: You may reproduce and distribute the Software royalty-free only as an integral part of your applet, stand-alone application or web application (collectively "Application") provided that: (a) The Software is distributed only in binary (compiled) form. (b) Your Application is targeted at end-users, and is not a development tool. (c) You include a valid copyright notice with your Application. (d) You agree to indemnify, hold harmless, and defend Odesys LLC against any claims or lawsuits, including attorney's fees, that arise or result from the use or distribution of your Application.
RESTRICTIONS: You may not rent or lease the Software, but you may transfer the Software on a permanent basis provided you retain no copies and the recipient agrees to the terms of this License Agreement. If the Software is an upgrade, any transfer must include the most recent upgrade and all prior versions. You may not reverse engineer, decompile, disassemble, or translate the Software. You may not use the Software as a foundation of similar or competitive products.
DISCLAIMER OF WARRANTY: THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL ODESYS LLC BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT, INCIDENTAL OR SIMILAR DAMAGES, INCLUDING LOST REVENUE, PROFIT OR DATA ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ODESYS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.
